Appointment & Scope

Agreement & Merchant Status

This Agreement governs the listing and operations of the Restaurant Partner on the Behtafood Platform — a digital food ordering and delivery marketplace. By registering on the Platform, the Restaurant Partner agrees to be bound by the terms set out herein. The Restaurant Partner is an independent merchant and is not an employee, agent, or representative of Behtafood Company Limited.

Platform Commission

Revenue & Remittance Terms

Behtafood charges a commission of 10% of the Gross Order Value on every successfully completed order. As monthly volumes grow — beginning from 500 orders per month — the Partner will be notified in writing of a reduced commission rate, with not less than seven (7) days' notice. Commission is deducted before remittance. No commission is charged on cancelled or refunded orders. Net earnings are remitted weekly, within three (3) business days after each Sunday close.

Operational Standards

Performance Commitments

Respond to every incoming order within 3 minutes. Keep order rejection below 5% monthly. Standard orders must be ready within 20 minutes; complex orders within 35 minutes. Partner-initiated cancellations should remain below 3% monthly. Your storefront should be live for at least 95% of declared operating hours. Target wrong-item incidents below 1.5% and missing-item incidents below 2%. Maintain a customer rating of 4.0 or above out of 5.0.

Food Safety & Packaging

Quality & Hygiene Protocol

The Partner shall at all times hold valid food business permits (NAFDAC / Ministry of Health / LGA) and comply with all applicable food safety laws. All orders must be securely packaged to prevent spillage — tamper-evident seals are mandatory for Premium Partners. All items must use fresh, non-expired ingredients. Behtafood reserves the right to conduct unannounced quality audits. Partners must accurately label all items with allergen and dietary information.

Menu, Pricing & Promotions

Listing Integrity Standards

All items must be accurately described, correctly priced, and available at the time of listing. Out-of-stock items must be marked unavailable within 15 minutes of depletion. Prices listed on the Platform must not be higher than on any other channel for equivalent items. Menu photography must be original, high-resolution, and accurately represent the item. Co-funded campaigns require prior written cost-sharing agreements.

Payments, Data & Technology

Financial & Data Governance

A detailed weekly earnings statement is provided through the Merchant App, itemising Gross Order Value, commission deducted, and net amount remitted. All Customer data and Platform analytics are the exclusive property of Behtafood — Partners shall not use Customer contact details for marketing. Disputes must be raised within 7 days of the earnings statement. The Restaurant Partner is solely responsible for all applicable taxes (VAT, CIT/PIT).

Legal Provisions

Termination, Liability & Arbitration

Behtafood may suspend a storefront immediately for food safety risk, fraud, repeated SLA breaches, or reputational harm. All Behtafood business, pricing, Customer, and Platform information is strictly confidential — this obligation survives termination for 5 years. Either party may terminate on 30 days' written notice; Behtafood may terminate immediately for material breach. Dispute resolution follows: Negotiation (14 days) → Mediation (30 days) → Binding arbitration in Lagos under Nigerian law.
